These terms of use set out the terms between you and It’s a Chook’s Life Limited (“we”, “us”, “our” or “The Chook”)
under which you may access our website ‘www.thechook.co.uk’ (“our site”).
These website terms of use (“terms of use”) apply to all users of, and visitors to, our site (including but not limited to,
registered non-fee paying creative professionals and registered and non-registered consumer browsers of our site
(“Browsers” and each a “Browser”, “Guests” and each a “Guest”). Your use of our site means that you accept, and agree
to abide by, all the policies in these terms of use, which supplement our privacy policy. If you do not agree to these terms
of use, please refrain from using our site immediately.
References to “you” or “your” in these terms of use are to all users of our site.
www.thechook.com is a site operated by us. We are registered in England and Wales under company number 06922934
and we have our registered office at THE CHOOK HQ, Exchange at Somerset House, The Strand, London, WC2R 1LA.

1. Browsing our site
1.1 Anyone is free and able to browse our site free of charge and without needing to register with us.
1.2 As a Browser, you may wish to register with us to receive correspondence from us such as updates relating to your
favourite Grad or Pro users.
1.3 As a Browser, there is no fee payable by you for such registration.
2. Registering as a Guest
2.1 Creative professionals may register with us at any time as a Guest.
2.2 As a Guest, there is no fee payable by you for such registration.
2.3 As a Pilot, you will have the following benefits:
(a) The ability to comment on portfolio message boards
(b) Your own personal URL
(c) Be able to save your favourite profiles
2.4 We reserve the right to vary or limit these benefits at any time without notice to you and without liability to you, regardless of
whether those variations or limitations are detrimental to you.
2.5 On submission of an application to become a Guest, we will ask you to submit information and images to be displayed on your
profile. We will review this information and images before we approve it for publication on our site. Thereafter, you will be free
to upload directly such information and images to your Profile as you wish, without advance approval from us, subject always
to the contents standards below.
2.5 In registering as a Guest, other than enabling you to have a Profile, we are not providing you with any services nor are we
supplying you with any goods.
2.6 Whilst you are under no obligation to update your Profile, you are encouraged to do so.
3. Registering as a Graduate or Professional
3.1 Creative professionals may register with us at any time as a Graduate or Professional (Grad or Pro).
3.2 As a Pro, there is no fee payable by you for such registration.
3.3 As a Grad or Pro you will have the following benefits:
(a) 17 images per portfolio
(b) Option to Include a showreel
(c) Approved member links
(d) Receive LOVE
(e) Get rated
(f) Add reviews
3.4 We reserve the right to vary or limit these benefits at any time without notice to you and without liability to you, regardless of whether
those variations or limitations are detrimental to you. You will be notified of any changes and you have the right to terminate your
registration with us as referred to in paragraph
3.5 You will be responsible for all charges for using the varied benefits if you choose to continue to use.
3.6 On submission of an application to become a Grad or Pro we will ask you to submit information and images to be displayed on your
Portfolio. We will review this information and images before we approve it for publication on our site. Thereafter, you will be free to
upload directly such information and images to your portfolio as you wish, without advance approval from us, subject always to the
contents standards below.
3.7 In registering as a Grad or Pro other than enabling you to have a portfolio, we are not providing you with any services nor are we
supplying you with any goods.
3.8 You can remove your details from our database of Grad or Pros at any time by notice in writing sent to THE CHOOK HQ, Exchange at
Somerset House, The Strand, London, WC2R 1LA
In serving such notice, we will assume that you wish to be registered as a Guest (rather than a Grad or Pro) from the date of the notice and
your portfolio (as visible to Browsers) will be varied accordingly. If this is not the case, and you wish to be removed from our database completely,
you must advise us of this in writing or by email to

. Once you have been re-registered as a Guest, the provisions of
paragraph 2 will apply to you thereafter.
3.9 We reserve the right to vary the sign up process from time to time and will notify you in writing or by email of any such variations. You have
the right to terminate your registration with us as referred to in paragraph 3.9 and you will be responsible for all increased charges if you continue
to use our site as a Pro user.
3.10 If for any reason you decide you do not want a Grad or Pro account you may cancel your contract within seven days of receipt of your sign up.

4. Registration generally
4.1 You may register with us at any time by clicking on the relevant section of our site.
4.2 We reserve the right in our entire discretion without giving a reason therefor, to refuse to accept any application for registration.
4.3 If you register with us, whether as a Subscriber, Guest, Grad or Pro:
(a) you represent and warrant that the information you include as part of the registration process is complete, accurate and not deliberately untrue;
(b) once you are a registered Guest, Grad or Pro you will maintain and update your personal information so it is always true, accurate and complete;
(c) we will retain your registered information in accordance with our privacy policy and by registering with us, you consent to such processing; and
(d) you are agreeing to use your account for your own personal use only
4.4 If we believe that any of the information you have provided to us as part of the registration process is not true, accurate or complete, we have the
right to suspend or withdraw your portfolio (in the event you are a Guest, Grad or Pro) and the right to remove you from any mailing or subscription
lists (if you are a registered Subscriber).
4.5 It is difficult for us to verify the identity of registered users. As a user of our site, you should exercise caution as some registered users may have
given us false or inaccurate or incomplete information. As a user of this site, please be aware of this at all times and exercise caution
where necessary. As a user of our site, if you communicate with a Guest, Grad or Pro you do so at your own risk. If you contract with a Guest, Grad
or Pro you do so directly, such contract will not involve The Chook in any way, and we will have no responsibility or liability in respect of such contracts.
4.6 If you register as a Guest, Grad or Pro with us, we may send to you from time to time information which we believe may be relevant or of interest
to you. You can ask us not to send such information at any time by emailing us at

4.7 As a Guest, Grad or Pro, you can remove your details from our databases by simply deleting your account at any time or by emailing us at

5. Accessing our site
5.1 We reserve the right to suspend, withdraw or amend the service we provide on our site without notice (see below). We will not be liable if for any
reason our site is unavailable at any time or for any period.
5.2 From time to time, we may restrict access to some parts of our site, or our entire site, to users who have registered with us (whether as a Guest, Grad, or Pro).
5.3 If you are provided with a user identification code, password or any other piece of information as part of our security procedures (which you will be if you
register as a Guest, Grad, or Pro, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to
disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with
any of the provisions of these terms of use.
5.4 You are responsible for making all arrangements necessary for you to have access to our site. You are also responsible for ensuring that all persons
who access our site through your internet connection are aware of these terms of use, and that they comply with them.
5.5 We process information about you in accordance with our privacy policy. By using our site, you consent to such processing and you warrant that all
data provided by you is accurate.
6. Reliance on information posted on our site
6.1 Commentary and other materials posted on our site are not intended to amount to advice on which
reliance should be placed. We therefore disclaim all liability and responsibility arising from any
reliance placed on such materials by any visitor to our site, or by anyone who may be informed
of any of its contents.
6.2 In particular, and without prejudice to paragraph 2.1, commentary and materials posted on
portfolio pages has been posted by Guest, Grad, or Pros and not by us. We disclaim all
liability and responsibility arising from any reliance placed on any materials on any portfolio
page by any visitor to our site, or by anyone who may be informed of any of its contents.
6.3 We aim to update our site regularly, and may change the content at any time. If the need arises,
we may suspend access to our site, which includes access to the Portfolio pages, or close our
site indefinitely. Any of the material on our site may be out of date at any given time, and
we are under no obligation to update such material.
6.4 Material on our site may contain inaccuracies. We make no warranty or representation as to
the accuracy, reliability, completeness of our site or the material on it.
6.5 We are not responsible for updating the portfolio pages, these pages are updated by the
registered Guest, Grad, or Pro users of that page. The contents of the portfolio pages may
be changed at any time by the registered Guest, Grad, or Pro of that page. Any of the
material on the portfolio pages may be out of date at any given time. There is no obligation to
update material on portfolio pages.
7. Uploading material to our site
7.1 Whenever you make use of a feature that allows you to upload material to our site, or to make contact
with other users of our site, you must comply with the content standards set out below. This is of
particular applicability to the portfolio pages. You warrant that any such contribution does comply
with those content standards, and you indemnify us for any breach of this warranty.
7.2 Other than personably identifiable information, which is covered under our privacy policy, any
material you upload to our site will be considered non-confidential and non-proprietary, and we have
the right to use, copy, distribute and disclose to third parties any such material for any purpose.
We also have the right to disclose your identity to any third party who is claiming that any material
posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or
of their right to privacy.
7.3 We will not be responsible, or liable, to any third party, for the content or accuracy of any materials
posted by you or any other user of our site (to include materials posted to portfolio pages by Guest, Grad, or Pro).
7.4 We have the right to remove any material or posting you make on our site (including on the
portfolio pages) if, in our opinion, such material does not comply with the content standards set
out below. In particular, we will do this if a user of our site indicates that the contents of a portfolio
are ‘inappropriate’ or do not comply with our contents standards.
7.5 As a Guest, Grad, or Pro, it is your responsibility to update and maintain your portfolio.
Whilst you are under no obligation to update and maintain your Portfolio, you are encouraged to do so.
7.6 As a Guest, Grad, or Pro, you are solely responsible for the content on your Portfolio page,
both to us and to Guests and Browsers.
7.7 If you are a Guest, Grad, or Pro and we believe, in our entire discretion, that you are in breach
of the contents standards (below) then we reserve the right to suspend your Portfolio. Suspension
of your Portfolio is without prejudice to any of our other rights and remedies. Suspension of your
portfolio will continue until either:
(a) you have updated your portfolio so that we, in our entire discretion, are satisfied with its contents; or
(b) we serve you notice (in writing or by email) that we are removing your Portfolio (which we shall
have the right to do at any time in our entire discretion).
8. Viruses, hacking and other offences
8.1 You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other
material which is malicious or technologically harmful. You must not attempt to gain unauthorised
access to our site, the server on which our site is stored, or any server, computer or database
connected to our site. You must not attack our site via a denial-of-service attack or a distributed
denial-of service attack.
8.2 By breaching this provision, you would commit a criminal offence under the Computer Misuse Act
1990. We will report any such breach to the relevant law enforcement authorities and we
will co-operate with those authorities by disclosing your identity to them. In the event of such a
breach, your right to use our site will cease immediately.
8.3 We will not be liable for any loss or damage caused by a distributed denial-of-service attack,
viruses or other technologically harmful material that may infect your computer equipment,
computer programs, data or other proprietary material due to your use of our site or to your
downloading of any material posted on it, or on any website linked to it.
9. Linking to or from our site
9.1 You may link to our home page, provided you do so in a way that is fair and legal and does not
damage our reputation or take advantage of it, but you must not establish a link in such a
way as to suggest any form of association, approval or endorsement on our part where none exists.
9.2 You must not establish a link from any website that is not owned by you.
9.3 Our site must not be framed on any other site, nor may you create a link to any part of our site
other than the home page. We reserve the right to withdraw linking permission without notice.
The website from which you are linking must comply in all respects with the content standards
set out below.
9.4 Where our site contains links to other sites and resources provided by third parties, these links are
provided for your information only. We have no control over the contents of those sites or resources,
and accept no responsibility for them or for any loss or damage that may arise from your use of
them. If you decide to access any of the other sites linked to our site, you do so entirely at your own risk.
9.5 Portfolio pages will include a link to the website and any given social media links of the relevant Guest, Grad, or Pro.
10. Intellectual Property
10.1 Unless otherwise stated, the copyright and other intellectual property rights in all material
on our site (including without limitation photographs and graphical images) are owned by
us or our licensors. Those works are protected by copyright laws and treaties around the
World. All such rights are reserved.
10.2 Certain information on our site and within our materials is available only on a subscription basis
or by virtue of registering on the site. Any such information may not be downloaded,
copied or printed off without our prior written permission.
10.3 You must not modify the paper or digital copies of any materials you have printed off or
downloaded in any way, and you must not use any illustrations, photographs, video or
audio sequences or any graphics separately from any accompanying text.
10.4 Our status (and that of any identified contributors) as the authors of material on our site must
always be acknowledged. Our copyright and trademark notices and any prior written permission
must appear in all copies of extracts from our site.
10.5 You must not use any part of the materials on our site for commercial purposes without
obtaining a licence to do so from us or our licensors.
10.6 If you print off, copy or download any part of our site in breach of these terms of use, your right to use
our site will cease immediately and you must, at our option, return or destroy any copies of the
materials you have made. You shall not reproduce, store, retain, distribute, modify, copy,
transmit or make any other use of the documentation in whole or in part in any form or media
without our express permission in writing.
10.7 The source code used to create the pages on our site is protected by our copyright and shall not
be reproduced, copied or adapted in any way.
10.8 We will terminate the accounts of users if we believe they have infringed the intellectual property
rights of others. If you believe that your work has been reproduced or copied in any way and you
believe there has been infringement of your intellectual property rights, please notify us (in
writing or by email) immediately with full details. Upon receipt we will suspend the Portfolio of
the offending party and, at your cost and expense, provide you with such reasonable assistance
as you may require in respect of such alleged infringement of your intellectual property rights.
We will also act in accordance with paragraph 7.2.
11. Prohibited uses
11.1 You may use our site only for lawful purposes. You may not use our site:
- in any way that breaches any applicable local, national or international law or regulation;
- in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;
- for the purpose of harming or attempting to harm minors in any way;
- to send, knowingly receive, upload, download, use or re-use any material which does not comply
with our content standards; - to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional
material or any other form of similar solicitation (spam); - to knowingly transmit any data, send or upload any material that contains viruses, Trojan
horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs
or similar computer code designed to adversely affect the operation of any computer software or hardware.
11.2 You also agree:
- not to reproduce, duplicate, copy or re-sell any part of our site (to include the contents of the portfolio
pages) in contravention of the provisions of these terms of use; - not to access without authority, interfere with, damage or disrupt: (i) any part of our site; (ii) any
equipment or network on which our site is stored; or (iii) any software used in the provision of our site;
(iv) any equipment or network or software owned or used by any third party; - not to post material that is copyrighted unless you are the copyright owner or have the permission of the
copyright owner to post it; - not to post material that infringes any other intellectual property rights of others; or
- not to post material that breaches the privacy rights of others.
12. Interactive services
12.1 We may from time to time provide interactive services (interactive services) on our site, including, without limitation:
- chat rooms;
- bulletin boards;
12.2 Where we do provide any interactive service, we will provide clear information to you about the kind of service offered,
if it is moderated and what form of moderation is used (including whether it is human or technical).
12.3 We will do our best to assess any possible risks for users from third parties when they use any interactive
service provided on our site, and we will decide in each case whether it is appropriate to use moderation of
the relevant service (including what kind of moderation to use) in the light of those risks. However, we are
under no obligation to oversee, monitor or moderate any interactive service we provide on our site, and
we expressly exclude our liability for any loss or damage arising from the use of any interactive service
by a user in contravention of our content standards, whether the service is moderated or not.
12.4 The use of any of our interactive services by a minor is subject to the consent of their parent or guardian.

13. Content standards
13.1 These content standards apply to any and all material which you contribute to our site (contributions)
including but not limited to any and all material which you post on your Portfolio (if applicable) and
any and all comments, reviews or feedback you post on a Portfolio page, and to any interactive
services associated with it. You must comply with the spirit of the following standards as well as
the letter. The standards apply to each part of any contribution as well as to its whole.
13.2 Contributions must:
- be accurate (where they state facts);
- be genuinely held (where they state opinions); and
- comply with applicable law in England and in any country from which they are posted.
13.3 Contributions must not:
- contain any material which is defamatory of any person;
- contain any material which is obscene, offensive, disparaging, hateful or inflammatory;
- promote sexually explicit material (including images or statements);
- promote violence;
- promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
- infringe any copyright, database right or trade mark of any other person;
- be likely to deceive any person;
- be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence;

- be threatening, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety;
- be likely to harass, upset, embarrass, alarm or annoy any other person;

- give the impression that they emanate from us, if this is not the case;
- advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.
13.4 Breach of the contents standards will entitle us, without notice, to:
(a) suspend or withdraw your Portfolio (in the case of Pros or Pilots); or
(b) suspend or withdraw your registration with us generally (in the case of Pros, Pilots and registered Browsers).
14. Our Liability
14.1 The material displayed on our site is provided without any guarantees, conditions or warranties as to its accuracy.
To the extent permitted by law, we, other members of our group of companies and third parties connected to us
hereby expressly exclude:
(a) All conditions, warranties and other terms which might otherwise be implied by statute, common law or
the law of equity;
(b) Any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with
our site or in connection with the use, inability to use, or results of the use of our site, any websites linked
to it and any materials posted on it, including:
- loss of income or revenue;
- loss of business;
- loss of profits or contracts;
- loss of anticipated savings;
- loss of data;
- loss of goodwill;
- wasted management or office time; and
- whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable, provided that
this condition shall not prevent claims for loss of or damage to your tangible property or any other claims for
direct financial loss that are not excluded by any of the categories set out above
14.2 This does not affect our liability for death or personal injury arising from our negligence, nor our liability for
fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot
be excluded or limited under applicable law.
15. Suspension and termination
15.1 We will determine, in our discretion, whether there has been a breach of these terms of use through your use
of our site. When a breach has occurred, we may take such action as we deem appropriate. Failure to comply
with these terms of use constitutes a material breach of the terms upon which you are permitted to use our
site, and may result in our taking all or any of the following actions:
- immediate, temporary or permanent withdrawal of your right to use our site;
- immediate, temporary or permanent removal of any posting or material uploaded by you to our site;
- issue of a warning to you;
- legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but
not limited to, reasonable administrative and legal costs) resulting from the breach; - further legal action against you;
- disclosure of such information to law enforcement authorities as we reasonably feel is necessary.
15.2 We exclude liability for actions taken in response to breaches of these terms of use. The responses described
in these terms of use are not limited, and we may take any other action we reasonably deem appropriate.
16. Changes to the terms of use
We may update and revise these terms of use at any time. You are expected to check this page from time to time
to take notice of any changes we make, as they are legally binding on you. Some of the provisions contained in
these terms of use may also be superseded by provisions or notices published elsewhere on our site.
17. Use of our site
17.1 We make no warranty or representation that the results that may be obtained from your use of The Chook
databases will be complete or accurate or reliable.
18. Use of data
18.1 All data we hold about you (whether as a Guest, Grad, or Pro) will be used only in accordance with our privacy policy.
19. Governing Law and Jurisdiction
19.1 These terms of use shall be governed by and construed in accordance with English Law. Disputes arising
in connection with these terms shall be subject to exclusive jurisdiction of the English Courts.

20.1 'THE CHOOK' Text and chicken mirrored logo are registered trade marks of It’s a Chook’s Life Limited.

21.1 These terms of use apply to the exclusion of any other terms that you may seek to impose or incorporate,
or which are implied by trade, custom, practice or course of dealing.

23. Beta Release
23.1 The Chook, currently available as full-featured beta release, is a culmination of over 2 years research
